APPROVAL OF THE 2020-2021 NORTHWEST TRI-COUNTY INTERMEDIATE UNIT BUDGET

RESOLVED, that the Board of School Directors of Crawford Central School District hereby approves the 2020-2021 Northwest Tri-County Intermediate Unit Budget in the total amount of $61,886,803. The Board further approves the total member districts’ contributions to the General Operating (Fund 010) and School Improvement Services (Fund 020) budgets of the Intermediate Unit for the 2020-2021 fiscal year for $1,942,838, with individual member district contributions as determined by the Pennsylvania Department of Education

APPROVAL OF THE REVISIONS TO THE 2019-2020 FINAL ALLOCATIONS FOR TITLE I AND TITLE IIA

RESOLVED, that the Board of School Directors of Crawford Central School District hereby approves the revisions to the 2019-2020 final allocations for Title I and Title IIA (Attachment)

APPROVAL TO AUTHORIZE THE FINANCIAL PROFESSIONALS TO TAKE THE NECESSARY STEPS FOR CONSIDERATION OF REFUNDING DISTRICT’S BOND ISSUES AT NO COST TO THE DISTRICT

WHEREAS, Crawford Central School District (the “School District”), a school district duly organized and validly existing under the Constitution and laws of the Commonwealth, particularly the Public School Code of 1949, as amended, intends to undertake the refunding its currently outstanding General Obligation Bonds Series A and B of 2015 (the “Project”); and

WHEREAS, the School District has determined that it is in its best financial interest to pursue the Project and expects to issue a single series of bonds (the “Project Bonds”) to accomplish the Project; and

WHEREAS, on September 20, 2013, the Securities and Exchange Commission adopted final rules (the “Final Rules”) for municipal advisor registration with the stated purpose of balancing the goals of enhancing the quality of municipal securities advice and protecting investors and municipalities in the municipal securities market; and

WHEREAS, the Final Rules include an exclusion (the “Underwriter Exclusion”) that allows a broker-dealer to serve as an underwriter on a particular issuance of municipal securities if there has been a contractual engagement of said broker-dealer through a writing or other acknowledgment of engagement from a duly authorized official of the issuer responsible for municipal finance; and

WHEREAS, the School District recognizes the need to authorize its Administration to cooperate with certain appointed professionals in connection with the structuring, marketing, approving and issuing of the Project Bonds and the need to authorize such appointed professionals to take certain actions required for the financing of the Project and the issuing of the Project Bonds.

NOW, THEREFORE, be it resolved by the Crawford Central School District that:

RESOLVED, the Board of School Directors of the Crawford Central School District does hereby authorize its Administration and its Solicitor to work with RBC Capital Markets LLC, as Investment Banker, and Dinsmore & Shohl LLP, as Bond Counsel, in conjunction with the structuring, marketing, approving and issuing of the Project Bonds, with the understanding that final approval of a financing requires formal Board action under the Local Government Unit Debt Act (53 Pa.C.S.A. §8001 et seq., as amended).

RESOLVED, the Board of School Directors of the Crawford Central School District does hereby (i) acknowledge the effective date of the Final Rules, (ii) authorize its Administration and Solicitor to work with RBC Capital Markets LLC, as underwriter, in conjunction with the structuring, marketing, approving and issuing of the Project Bonds pursuant to the “underwriter exclusion” under the Final Rules and (iii) authorize the execution of an engagement letter or written acknowledgment of the relationship between the School District and RBC Capital Markets LLC, in connection with the structuring, marketing, approving and issuing of the Project Bonds, provided that, the terms and conditions of the sale of the Project Bonds are subject to the final approval of the Board of School Directors pursuant to a duly adopted debt resolution. 

RESOLVED, the Board of School Directors of the Crawford Central School District does hereby appoint Dinsmore & Shohl LLP, as Bond Counsel, with respect to the Project Bonds and authorizes Dinsmore & Shohl LLP to take such actions as may be required to prepare the proceeding for the approving of the Project Bonds as required by the Local Government Unit Debt Act (including, specifically, the publishing of required notices).
